HP schrijft miljarden af op overgenomen softwarebedrijf
De Amerikaanse computermaker Hewlett-Packard schrijft zo'n 8,8 miljard dollar af na de ontdekking van 'ernstige onregelmatigheden' in de financiële verslaggeving bij het overgenomen Britse softwarebedrijf Autonomy.
Dat heeft het HP vandaag bekendgemaakt bij de presentatie van de cijfers over het vierde kwartaal. Het bedrijf nam de Britse softwaremaker in 2011 voor ruim 10 miljard euro over. De 'onregelmatigheden' vonden plaats voor de overname.
"HP recorded a non-cash charge for the impairment of goodwill and intangible assets within its Software segment of approximately $8.8 billion in the fourth quarter of its 2012 fiscal year. The majority of this impairment charge is linked to serious accounting improprieties, disclosure failures and outright misrepresentations at Autonomy Corporation plc that occurred prior to HP's acquisition of Autonomy and the associated impact of those improprieties, failures and misrepresentations on the expected future financial performance of the Autonomy business over the long-term."
De onregelmatigheden kwamen aan het licht tijdens een intern onderzoek van het bedrijf en een forensisch onderzoek door PwC, nadat een topfunctionaris van Autonomy aan de bel had getrokken. Volgens HP hebben leden van het voormalige management team van Autonomy de resultaten doelbewust rooskleuriger voorgesteld om beleggers en potentiële kopers om de tuin te leiden.
"HP is extremely disappointed to find that some former members of Autonomy's management team used accounting improprieties, misrepresentations and disclosure failures to inflate the underlying financial metrics of the company, prior to Autonomy's acquisition by HP. These efforts appear to have been a willful effort to mislead investors and potential buyers, and severely impacted HP management's ability to fairly value Autonomy at the time of the deal."
Volgens HP was Autonomy op het moment van overname zwaar overgewaardeerd "due to the misstatement of Autonomy's financial performance, including its revenue, core growth rate and gross margins, and the misrepresentation of its business mix."
